DATA PROCESSING

DATA PROCESSING AGREEMENT

This Data Processing Agreement (“Agreement”) forms part of the agreement (“Principal Agreement”) between Camera-Pan Limited (“Data Controller”) and [Data Processor].

1. PURPOSE AND SCOPE

The purpose of this Agreement is to set out the terms and conditions under which the Data Processor will process Personal Data on behalf of the Data Controller in accordance with applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR).

2. DEFINITIONS

In this Agreement, the following terms shall have the meanings set out below:

  • “Personal Data” means any information relating to an identified or identifiable natural person (“Data Subject”), including but not limited to name, email address, IP address, and other information that can be used to directly or indirectly identify a Data Subject.

  • “Processing” means any operation or set of operations which is performed on Personal Data, whether or not by automated means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.

  • “Data Processor” means the natural or legal person, public authority, agency or other body which processes Personal Data on behalf of the Data Controller.

3. OBLIGATIONS OF THE DATA PROCESSOR

The Data Processor shall:

  • Process Personal Data only on documented instructions from the Data Controller, unless required to do so by applicable law.

  • Ensure that persons authorized to process Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality.

  • Implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, taking into account the state of the art, the costs of implementation and the nature, scope, context and purposes of Processing as well as the risk of varying likelihood and severity for the rights and freedoms of natural persons.

  • Assist the Data Controller in ensuring compliance with its obligations under applicable data protection laws and regulations, including but not limited to the GDPR, taking into account the nature of Processing and the information available to the Data Processor.

  • Not engage another processor without prior specific or general written authorization of the Data Controller. In the case of general written authorization, the Data Processor shall inform the Data Controller of any intended changes concerning the addition or replacement of other processors, thereby giving the Data Controller the opportunity to object to such changes.

  • Assist the Data Controller in complying with requests from Data Subjects exercising their rights under applicable data protection laws and regulations.

  • Notify the Data Controller without undue delay after becoming aware of a Personal Data Breach.

  • Make available to the Data Controller all information necessary to demonstrate compliance with its obligations under this Agreement and applicable data protection laws and regulations, and allow for and contribute to audits, including inspections, conducted by the Data Controller or another auditor mandated by the Data Controller.

4. SUB-PROCESSORS

The Data Controller authorizes the Data Processor to engage third-party sub-processors to process Personal Data on behalf of the Data Controller. The Data Processor shall ensure that any sub-processor it engages complies with the same data protection obligations as those set out in this Agreement.

5. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

6. VIDEO RIGHTS

By submitting, uploading, or streaming any video content to Camera-Pan or its associated platforms, the user agrees to grant Camera-Pan full and exclusive rights to the video content. This includes, but is not limited to, the right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the content worldwide in any media format, whether now known or hereafter devised, for promotional, marketing, advertising, training, or any other purposes deemed appropriate by Camera-Pan. The user acknowledges and agrees that Camera-Pan may use the video content for AI training, algorithm development, or other similar purposes. The user waives any and all rights to the content and agrees not to assert any moral or legal rights in connection with the use of the content by Camera-Pan.

7. CHANGES TO THIS DATA PROCESSING AGREEMENT

Camera-Pan Limited may update or modify this Data Processing Agreement from time to time in order to reflect changes in our practices or for other operational, legal or regulatory reasons. Camera-Pan Limited will notify the Customer in writing of any changes to this Agreement.
